Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Bonara website at bonara.app and the Bonara web application (together, the "Service"), operated by L&P Enterprises Friebe Grawe GbR ("Bonara", "we", "us"). By accessing or using the Service you agree to be bound by these Terms and by all applicable laws and regulations. If you do not agree, please do not use the Service.

1. The Service

Bonara is a web application that helps small and medium-sized businesses design, assign, and track variable compensation and bonus plans. We may add, change, or remove features over time. The Service is provided on an ongoing basis subject to these Terms and any plan you select.

2. Accounts and eligibility

You must be at least 16 years old and able to enter into a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

You retain all rights to the data and content you submit to the Service ("Your Data"). You grant us a limited licence to host, process, and display Your Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring you have a lawful basis to provide any personal data of your employees or others to the Service.

5. Subscriptions, fees, and billing

Paid plans are billed in advance on the cycle shown at checkout (for example, per employee per month, billed annually). Unless stated otherwise, fees are exclusive of applicable taxes. Plan features and prices may change; we will give reasonable notice of material changes. You can cancel at any time, with cancellation taking effect at the end of your current billing period. Except where required by law, fees already paid are non-refundable.

6. Intellectual property

The Service, including its software, design, text, and trademarks, is owned by Bonara / L&P Enterprises Friebe Grawe GbR and is protected by copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

7. Availability and changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue all or part of the Service, and may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

8. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Bonara does not provide legal, tax, accounting, or financial advice; calculations and outputs are tools to support your own decisions and you remain responsible for verifying them.

9. Limitation of liability

To the fullest extent permitted by applicable law, Bonara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Service. Nothing in these Terms excludes liability that cannot be excluded under applicable mandatory law.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict-of-law rules. The courts competent for the registered seat of L&P Enterprises Friebe Grawe GbR in Paderborn, Germany shall have jurisdiction, to the extent permitted by law.
